Introduction

These Terms of Use govern your access to and use of vendor.com (the “Site”), operated by Vendor, Inc. (“Vendor,” “we,” “us” or “our”).

The Site provides information about Vendor, AI Compute, ComputeOS, home AI, early access, partnerships and career opportunities.

Please read these Terms before using the Site. By using the Site after receiving notice of these Terms, you agree to them. If you do not agree, please discontinue use.

If you use the Site on behalf of a business or organisation, you represent that you have authority to act on its behalf.

Scope and Separate Agreements

These Terms apply to the Site. Purchasing hardware, arranging installation, using software or connected services, buying or supplying compute, and participating in a partner program may require separate agreements.

Those agreements govern the relevant pricing, payment obligations, fees, payouts, refunds, warranties, support and service conditions. If these Terms conflict with a separate agreement, that agreement controls for the activity it covers, subject to applicable law.

Visiting the Site or submitting an enquiry does not authorise us to charge you, run workloads on your hardware or control your connected devices.

Acceptable Use

You may use the Site for lawful purposes, including learning about Vendor and submitting genuine enquiries or applications.

You must not:

— Attempt to access systems, accounts or information without authorisation.

— Introduce malware or interfere with the Site's security or operation.

— Submit fraudulent information, impersonate another person or misrepresent your authority.

— Infringe another person's intellectual property, privacy or other rights.

— Copy, distribute or commercially exploit Site content without permission, except where permitted by law.

Information you submit must be accurate to the best of your knowledge, and you must have permission or another lawful basis to provide it.

We may restrict access where reasonably necessary to address misuse, security threats, violations of these Terms or legal requirements. Restricting website access does not, by itself, cancel rights or obligations under a separate agreement.

Early Access and Expressions of Interest

Joining a waitlist, requesting early access or submitting an enquiry expresses interest in Vendor. It does not, by itself, constitute a purchase, reservation, employment offer or binding commercial arrangement.

Registration does not guarantee acceptance, product availability, priority access, pricing or a delivery date.

We may change product plans, features, launch schedules and availability. Such changes do not remove obligations under an accepted order, a separate agreement or applicable law.

Product Information and Illustrations

The Site may include product concepts, renderings, prototypes, demonstrations and planned features. Content identified as conceptual, illustrative or in development may differ from a final offering.

Availability and functionality can depend on hardware configuration, software, supported integrations, location, installation conditions and connectivity.

Before purchasing or subscribing, review the specifications and terms provided for the particular offering. Nothing in this section excludes an express commitment or legal obligation applicable to your purchase.

Compute Earnings and Operating Costs

The Site may describe opportunities to earn income by supplying computing power for paid workloads through the Vendor network.

Earnings depend on factors including buyer demand, hardware capabilities, workload availability, utilisation, connectivity, uptime and applicable rates. Unless expressly stated in an applicable agreement, Vendor does not guarantee paid work, minimum utilisation, monthly income, profitability or recovery of equipment and installation costs.

Revenue figures do not necessarily represent net income. Relevant costs may include equipment, installation, electricity, internet service, maintenance, financing, platform fees and taxes.

Examples, estimates, projections and demonstration dashboards identified as illustrative are not promises of future results. Historical results, where shown, do not guarantee future performance.

Eligibility, workload acceptance, compensation calculations, deductions and payout timing are governed by the applicable compute agreement. This section does not change Vendor's obligation to pay amounts properly earned and payable under that agreement.

AI Features and Connected Services

Descriptions of home AI and ComputeOS relate to supported functionality. They do not mean that every device, account or third-party service is compatible.

AI-generated responses can be incomplete or inaccurate. Review relevant details before relying on a response or authorising actions involving purchases, bookings, payments or connected devices.

Do not rely on AI-generated responses as the sole basis for emergency or safety-critical decisions.

Feature availability, permissions and data processing are addressed in the applicable product documentation, service terms and privacy notices. These website Terms do not grant blanket permission to record audio, access private files or disclose personal information.

Nothing in this section limits Vendor's responsibilities under an applicable agreement or law.

Partnerships and Applications

Submitting a partner enquiry, résumé, proposal or application does not create an employment relationship, agency appointment, distributorship or other commercial arrangement.

Compensation, commissions, territory rights, responsibilities and authority to represent Vendor must be established in the applicable separate agreement.

You may not claim to be an authorised Vendor representative or make commitments on Vendor's behalf without authorisation.

Intellectual Property

Site content, including text, graphics, branding, product imagery, designs and software, is protected by applicable intellectual property laws. Rights in that content belong to Vendor or the relevant rights holders.

You may view the Site and retain reasonable copies for personal reference or internal evaluation of Vendor's offerings. Other uses require permission unless permitted by law.

Vendor names and logos may not be used in a way that implies an unauthorised affiliation or endorsement. Third-party names and trademarks belong to their respective owners.

Privacy and Communications

Our Privacy Policy and applicable cookie notices explain how personal information collected through the Site is handled.

Submitting an enquiry allows us to respond to that enquiry. Marketing subscriptions and any required consent are handled separately. You may unsubscribe from marketing communications using the instructions provided in those messages.

Acceptance of these Terms does not replace consent where separate consent is required by law.

Third-Party Websites and Services

The Site may link to independently operated websites or describe integrations with outside providers. Those providers may have their own terms, charges, availability restrictions and privacy practices.

A link or reference does not, by itself, constitute an endorsement. We do not control independently operated websites or services.

This section does not exclude responsibilities we have under an applicable agreement or law.

Website Availability and Disclaimers

We aim to keep the Site useful and accurate, but do not guarantee that it will always be available, uninterrupted or free from errors. Access may be interrupted for maintenance, security or other operational reasons.

To the extent permitted by law, the Site is provided “as is” and “as available,” without warranties beyond those required by law or expressly provided in an applicable agreement.

These website disclaimers do not replace or limit warranties, refund rights or other protections applicable to purchased products or services.

Limitation of Liability

To the fullest extent permitted by applicable law, Vendor is not liable for indirect, incidental, special or consequential losses arising from access to or use of the Site.

Nothing in these Terms excludes or limits liability for fraud, intentional misconduct, gross negligence or any other liability that cannot lawfully be excluded or limited.

Mandatory consumer rights remain unaffected. Where applicable law does not permit a particular exclusion or limitation, it applies only to the extent that the law allows.

Liability relating to purchased products, installation, software or compute services is subject to the applicable agreement and law.

Changes to These Terms

We may update these Terms and will display the revised date on this page. Where required by law, we will provide additional notice or obtain agreement to material changes.

Updates apply prospectively and do not retroactively alter completed transactions or separate agreements.

General

These Terms are subject to applicable law. Nothing in them deprives you of mandatory protections under the law that applies to you.

If a provision is found unenforceable, the remaining provisions continue to apply to the extent permitted by law.

A failure to enforce a provision does not waive the right to enforce it later.
